By accessing or using AttendX's event analytics platform and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Services. These Terms apply to all users, including event organizers, municipalities, and other clients.

2. Description of Services

AttendX provides AI-powered event analytics services including real-time attendance tracking, visitor flow analysis, predictive analytics, and reporting tools. Our Services include hardware sensors, software platforms, and related support services as described in your service agreement.

3. Account Registration

To access certain features of our Services, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access or security breach

4. Permitted Use

You may use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services in violation of any applicable laws or regulations
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the integrity or performance of the Services
• Reverse engineer, decompile, or disassemble any part of the Services
• Use the Services to collect personally identifiable information without consent
• Resell or redistribute the Services without our written permission

5. Hardware and Equipment

AttendX may provide hardware sensors and equipment as part of the Services. You agree to use such equipment in accordance with our guidelines, protect it from damage or theft, and return it upon termination of services. You are responsible for any damage to equipment caused by misuse, negligence, or unauthorized modifications.

6. Data Ownership and Usage

You retain ownership of your event data and reports generated through our Services. You grant AttendX a limited license to use anonymized, aggregate data to improve our Services and develop new features. We will not share your identifiable data with third parties without your consent, except as required by law.

7. Intellectual Property

All intellectual property rights in the Services, including software, algorithms, designs, and documentation, remain the exclusive property of AttendX. These Terms do not grant you any rights to use our trademarks, logos, or brand features without our prior written consent.

8. Service Level and Support

AttendX strives to provide reliable Services with 99.9% uptime. We offer technical support during business hours and emergency support for critical issues. Specific service levels and support terms are detailed in your service agreement.

9. Limitation of Liability

To the maximum extent permitted by law, AttendX shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services. Our total liability shall not exceed the fees paid by you in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless AttendX, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

11. Termination

Either party may terminate these Terms with written notice as specified in your service agreement. Upon termination, your access to the Services will cease, and you must return any AttendX equipment. We will provide your data in a standard format upon request within 30 days of termination.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes through the platform or via email. Your continued use of the Services after changes take effect constitutes acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Ontario.
